Terms of sale and use
These terms govern your use of chainwell.bio (the "Site") and every purchase from it. The Site is operated by chainwell.bio ("Chainwell", "we", "us"). By using the Site or placing an order you agree to these terms, our Research-use policy, Privacy policy, Shipping & returns and Paying with Lightning, which all form part of this agreement.
Please read section 13 carefully. It requires disputes to be resolved by individual binding arbitration rather than in court, and waives class actions and jury trials, unless you opt out within 30 days.
1. Eligibility
You must be at least 21 years old and legally able to enter contracts. If you order for an institution or company, you confirm that you are authorised to bind it, and "you" includes it. You confirm that every statement you make at checkout, including the required declarations, is true. We record those declarations with each order.
2. Research use only
All products are sold strictly for in-vitro laboratory research as described in the Research-use policy. Any other use, and any resale or transfer for human or animal use, is a material breach of these terms. You assume all responsibility and risk for the receipt, storage, handling, use and disposal of products after delivery to the carrier.
3. No advice
We do not provide medical, veterinary, dosing, legal or regulatory advice, and nothing on the Site or from our staff is such advice. No professional relationship is created by using the Site or contacting us.
4. Orders and pricing
Prices are listed in U.S. dollars. Product listings are an invitation to order, not an offer. An order is accepted only when its payment has settled and it is not cancelled under these terms. We may limit quantities and may refuse or cancel any order, including for suspected policy breaches, suspected fraud, pricing or listing errors, or stock issues; any payment received for a cancelled order is refunded. If a price or description is clearly wrong, we are not bound by it.
5. Payment
We accept payment only over the Bitcoin Lightning Network. At checkout we create an invoice for your U.S. dollar total, converted at a prevailing exchange rate that is fixed for the life of the invoice. Lightning payments are final once settled. Refunds, where due, are paid in bitcoin over Lightning for the U.S. dollar value you originally paid, to an invoice or address you provide, unless we agree otherwise in writing. You are responsible for your own wallet fees and for paying the exact invoice you were shown. We do not hold balances or funds for customers.
6. Shipping, title and risk
We ship only to the destinations offered at checkout. Title and risk of loss pass to you when the order is handed to the carrier. You are the importer of record for your destination and are responsible for making sure products may lawfully be received, possessed and used there. We may refuse shipment to any address. See Shipping & returns.
7. Product information and limited warranty
We warrant that products, when shipped, conform to the specifications on their product page at the time of your order. Purity figures are the manufacturer's or supplier's specification unless a lot-specific certificate of analysis from an independent laboratory is linked on the product page. Your only remedy for a breach of this warranty is replacement or a refund under Shipping & returns. Except for this warranty, and to the fullest extent permitted by law, products and the Site are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and any warranty arising from course of dealing.
8. Assumption of risk
Research chemicals can be hazardous. You acknowledge that products have not been tested or approved for safety in people or animals, and you assume all risks arising from their handling, use or misuse, including any use contrary to these terms.
9. Limitation of liability
To the fullest extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data or research results, however caused; and (b) our total liability for all claims relating to the Site or any order is limited to the amount you paid for that order. These limits apply to every theory of liability and even if we were told such damages were possible. Some places do not allow certain limits; in those places our liability is limited to the smallest extent the law allows.
10. Indemnity
You agree to defend, indemnify and hold harmless chainwell.bio, its members, managers, staff and suppliers from all claims, losses, liabilities and expenses (including reasonable legal fees) arising from your use or misuse of products, any use in or on people or animals, any resale or transfer, your breach of these terms, or your violation of any law or third-party right.
11. Compliance with law
You will comply with all laws that apply to your purchase and use, including federal, state and local laws on chemicals, drugs, controlled substances, laboratory safety and waste. You will not export products from the United States. You confirm that you are not located in, or acting for anyone in, a country or region subject to U.S. sanctions, and that you are not on any U.S. government restricted-party list.
12. Use of the Site
You may use the Site only to browse and buy for the permitted purpose. You will not misuse it, including by attempting to break its security, scraping it at scale, interfering with its operation, or submitting false information. Site content, names and designs belong to us or our licensors and may not be copied for commercial use without permission. Links to third-party sites are for convenience and we are not responsible for them.
13. Disputes: arbitration and class-action waiver
Informal resolution first. Before starting any claim, you and we agree to try to resolve it informally for at least 30 days, starting with written notice to the other side (to us at support@chainwell.bio) that describes the claim and the relief sought.
Binding arbitration. Any dispute that is not resolved informally, arising out of or relating to these terms, the Site or any product or order, will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. The arbitrator decides all questions about the scope and enforceability of this section, except that a court decides the class-action waiver below. Arbitration may take place by video or in the county where you live. Either side may instead bring an individual claim in small-claims court if it qualifies, and either side may ask a court for an injunction against infringement of intellectual property.
No class actions, no jury. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may award relief only to the individual party. You and we waive any right to a jury trial. If this class-action waiver is found unenforceable for a claim, that claim must be decided in court and not in arbitration.
Opting out. You may opt out of this section by emailing support@chainwell.bio within 30 days of your first order, with your name, the email used for the order and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these terms.
Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.
14. Governing law and venue
These terms are governed by the laws of the State of Wyoming, USA and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to section 13, the state and federal courts located there have exclusive jurisdiction, and you consent to their jurisdiction. Nothing in these terms removes rights that the consumer law of your place of residence says cannot be waived.
15. General
- Whole agreement. These terms and the policies they refer to are the entire agreement between us about the Site and your orders, and replace anything said or written before.
- Severability. If any part is found unenforceable, it is limited to the minimum extent needed and the rest stays in effect.
- No waiver. Not enforcing a term is not a waiver of it.
- Assignment. You may not transfer your rights under these terms. We may transfer ours, for example to a successor business.
- Events outside our control. We are not liable for delays or failures caused by events beyond our reasonable control, including carrier delays, network or payment-network outages, supply shortages, natural events and government action.
- Electronic communications. You agree to receive notices, receipts and other communications electronically, and that your checkout declarations and clicks are valid signatures.
- Survival. Sections 2, 3 and 7 to 15 survive the end of any order or your use of the Site.
16. Changes and contact
We may update these terms by posting a new version on this page. The version in force when you place an order applies to that order. Questions: support@chainwell.bio.
